Due Diligence and Transaction Services

We provide 3rd party financial and operational due diligence services for clients on both the buy- and sell-side of any deal. In addition, we can provide valuation and/or purchase price modeling to support deal negotiations. We also provide this competitively-priced service to investors, private equity or strategic acquirers who do not have the resources in-house. Specifically, we provide:

  1. Buy-side:
    • Review of target Confidential Information Memorandum and accompanying data room information (financial, operational, tax, IT, HR, etc.)
    • Development of business valuation of target and purchase price model (including IRR and deal scenario analysis)
    • Development of synergy analysis and resulting EBITDA bridge
    • Preparation of due diligence report and recommendation to invest or not to invest, as well as deal offer structure
    • Provision of advisory services for deal negotiations and coordination with legal advisors (if required)
  2. Sell-side:
    • Prepare company for sale, including development of Confidential Information Memorandum and data room
    • Development of business valuation of target and other financial ratios in preparation for deal negotiation
    • Marketing of deal to prospective purchasers (either direct or through Partner Services, depending on the industry/sector)
    • Provision of advisory services for deal negotiations and coordination with legal advisors (if required)
